USER LICENSE AGREEMENT

PLEASE READ THESE TERMS AND CONDITIONS OF USE CAREFULLY.
THESE TERMS AND CONDITIONS ARE BINDING.

By using the spylr.com website and SPYLR service, you agree to be bound by the following Terms And Conditions of Use.

YOUR USE OF THE SITE AND/OR THE SERVICE SIGNIFIES THAT YOU AGREE TO THESE TERMS AND CONDITIONS OF USE AND CONSTITUTES YOUR BINDING ACCEPTANCE OF THESE TERMS AND CONDITIONS OF USE, INCLUDING ANY MODIFICATIONS THAT SPYLR MAKES FROM TIME TO TIME.

This End User license Agreement shall deem to be the governing agreement between www.spylr.com (hereinafter referred to as “we”, “us”, “SPYLR” as the context may require) and the user of SPYLR services (hereinafter referred to as “you”, “user” as the context may require)

1. Commencement OF Agreement

  • This Agreement shall deem to have come in to force at once, upon your using any of the services provided by SPYLR.
  • The terms and conditions of use contained in this Agreement are NON-NEGOTIABLE and are subject to acceptance “AS IT IS”. If you do not agree to this Terms and Conditions, you shall quit using SPYLR, at ONCE, however your use of SPYLR, whether single use, multiple use or continuing use, shall deem to be considered as your express agreement to the terms and conditions of this Agreement.
  • Your use of the Services provided by SPYLR, whether single use, multiple use or continuing use, shall deem to be considered as consideration, sufficiency of which is hereby acknowledged by you, to expressly agree to the terms and conditions contained in this Agreement.
  • Services provided herein are available only to those individuals/organizations that are competent to entire and form a legally binding and enforceable contract under applicable law.

2. Definitions

  • “Account” means the Account registered by the USER on SPYLR
  • “Device” means any Computer System, Smart Phones, Tablets, or any other Electronic device which supports and is compatible for the use of SPYLR
  • “Monitor” means to monitor, track and collect the monitored information of the Target
  • “Monitored Information” means any information, data, graphics, locations, calls, messages, emails, texts, etc. received from the device by use of SPYLR
  • “SPYLR” shall means www.spylr.com and shall include SPYLR’s any other Website, Sub-Domains, Web Links, and any other services provided by SPYLR
  • “SERVICES” means any services provided by SPYLR from time to time
  • “THIRD PARTY” means any person other than the “USER” or “TARGET”
  • “TARGET” means a person who is monitored through SPYLR Services
  • “USE” means to install and assess SPYLR and monitor the TARGET

3. Principal Points

The Site and the SPYLR Software shall be used only in such cases:
  • With the aim of parental control
  • By employers to control the devices in their ownership that are operated by their employees
  • By the user on their own device
  • By the user with a consent of the device owner.

4. Objective of SPYLR

SPYLR is an Mobile application which is build with the following objectives:
  • Enabling Parents to monitor their minor child’s online and offline activities
  • Provide parental control to their minor’s handset devices
  • Monitoring Employees activities by the Employer during specified Employees working hour.

5. SPYLR services & monitored INFORMATION

SPYLR provides following services to its users and monitors the following information of the Target: Call Log History, GPS location, Calendar Updates, Text Messages, Emails, Web History, Call Recording, Social Media Activity Tracker, Live Monitoring, Application Tracker, Anti-Theft Tracker, SIM Change Alert, Any other services as may be added or deleted from time to time.

The aforesaid services are provided on “AS IS” and on “Availability” basis, without any warranty, guarantee or representation by SPYLR, that any of the services would be available for all the time, and that any such services when available would be accurate, error free, without any interruptions or would generate the desired results.

SPYLR may at any time suspend any of the aforesaid services or make addition to any of the aforesaid services at any point of time, without any notice or intimation to the USER.

6. Generals and Conditions Of SPYLR Use

SPYLR is not a SPY software and is not to be used as such by the USER. Purpose of services provided by SPYLR is strictly to achieve the aforesaid objectives of
  1. Parental Control over Minors
  2. Employees Monitoring during the Employment Hours and it is to be used only for such designated purpose and none other.
SPYLR shall not be used to breach the privacy or spy on any Individuals. Any such illegal usage of the Services of SPYLR shall be construed as breach of this Agreement and upon knowledge of such Breach; SPYLR shall forthwith terminate the services and block the account of the USER, without any notice to the USER.

To use SPYLR, the user is required to register its Account with SPYLR and install SPYLR Application on the devices of the TARGET which is intended to be monitored as per this Agreement.

Before installing SPYLR on the TARGETED device, USER acknowledges and understands that:

  1. User shall install SPYLR Application only in their own Child’s devices or the Child’s of whom User is a legal guardian or custodian under the law.
  2. User shall not install SPYLR Application on other’s Child’s devices.
  3. The User shall not use the Service for any unlawful purpose including without limitation criminal purposes.
  4. The User shall not infringe on any intellectual property rights of any person or/and retain information in any computer system or otherwise with an intention to do so.
  5. User shall install SPYLR Application only on the devices belonging to the User.
  6. In the event User provides, licenses, sell, rents etc. his device to any third party for use, in which SPYLR is installed, then before delivering the device to such Third Party for use, the USER shall notify such Third Party regarding the presence of the SPYLR on the device, so as to enable the Third Party to decide whether to accept and use such device or not. Acceptance of devices by the third party with the knowledge of SPYLR on such devices shall be deemed presumed under the law as Express Consent of such Third Party to be monitored by the USER and the THIRD PARTIES express consent to the Terms and Conditions of this Agreement.
  7. User shall not install SPYLR on any Third Parties device, without the consent of such Third Party. User acknowledges and understands that installing SPYLR application on third parties devices without third parties knowledge and express consent is illegal and in breach of the terms of this agreement.
  8. User shall not allow any third Party to assess or use user’s account
  9. Before monitoring an Employee, the USER shall take an express written consent from the Target Employee regarding his ready and willingness to be monitored by SPYLR. At the time of obtaining written consent of the TARGET Employee, USER shall disclose to the Target Employee the list of all such information which shall be monitored by the user through SPYLR.
  10. USER shall use SPYLR himself to monitor the target and shall not sub-license or appoint any agent, employee etc. to monitor the target.
  11. User shall not share, leak, disclose, publish, part away or permit any third party to have access to any of the Monitored information of the TARGET.
  12. The User shall not resell or assign rights or obligations to any third party whatsoever.
  13. The User shall not violate, or attempt to violate the security of Website and/or any links to website or gain un-authorized access any information regarded as private by other Users or persons, including but without limitation to accessing data and information not intended for them or logging onto a server or account which the User is not authorized to access, attempting to probe, scan or test the vulnerability of a system or network or attempting to breach security or authentication.
USER acknowledges and agrees that SPYLR is meant only for legitimate use and its illegal use may result in to serious violation of the LAW and consequently may result in to serous civil and criminal consequences.

USER acknowledges consents and agrees that USER shall use SPYLR only in accordance with the law of Country to which USER is subject to. Law shall mean and include any legislation, act of parliament, ordinances, rules, bylaws, regulations, control order any other instrument having the force of law.

In some countries, law may specifically restrict use of any monitoring applications without any exceptions, and in such countries, it may be illegal for the user to use SPYLR, even with the consent of the TARGET. Since SPYLR is available worldwide through World Wide Web, User may be able to avail and use SPYLR in the country of his location, however, before using SPYLR, user shall obtain independent opinion from his local attorney, regarding the legitimacy of the intended use of SPYLR in the country of his location and only after obtaining such legal opinion the USER may use SPYLR.

USER acknowledges, consents and agrees that any legal consequences arising out of the use of SPYLR by the USER, not limiting damages, compensations, penalty, imprisonment, costs, etc. shall be sole liability and responsibility of the USER and SPYLR shall not in any manner be held responsible for any such consequences or liability incurred by the USER.

7. License

SPYLR is the sole owner and title holder of all SPYLR services, including SPYLR Applications, Programming Codes, Designs, Logos, Websites, Web Applications, Databases, Logics and any other tangible or intangible intellectual property right associated, comprised and consisted therein, including any modification, improvements, enhancements etc. made therein.

It is clarified that USE of SERVICES of SPYLR by the USER is merely on license basis and it is not the transfer of property of any of the SPYLR services, proprietary or intellectual property rights.

User shall not have any proprietary right, title or interest in any of the SPYLR services or Properties.

License granted by SPYLR to the user herein shall mean that SPYLR hereby grants the USER with a limited, non-exclusive, non-transferable, revocable license to:

  • Install SPYLR in one or more devices, as per USER license subscription policy, which are owned by the USER, or are under USER legal control.
  • To view, review and use the services of SPYLR
  • To use the SPYLR for monitoring of a specified TARGET devices.
  • The license herein granted, only permits the USER to install SPYLR on the devices that are owned and legally possessed by the User, or the devices on which USER have been granted express right by the third party to install SPYLR.
  • This License do not permit the User to use SPYLR on any device which is not owned or control, or for which user do not have the legal right to use SPYLR.
  • License granted herein is revocable at any time at the sole discretion of SPYLR, without any prior notice or intimation to the USER.

License granted herein DO NOT INCLUDE:

  • No License is granted to the USER in any of the intellectual property of SPYLR.
  • Sell, lease, rent, license, sublicense, redistribute, assign, export, import, upload SPYLR to any THIRD PARTY, whether on commercial basis or otherwise
  • Decompile, Disassemble, or reverse engineer any of the applications, software, code etc. of SPYLR, in whole or in part
  • Develop any derivative SPYLR, or make attempt to derive the source code of, modify, or create derivative works of the SPYLR
  • USER shall not make unauthorized reproduction, distributions, copy adapt, edit, change, transform, hack or illegally access to any of the contents, codes, materials or Applications of SPYLR whether in part or in full.
Additional Terms and Conditions:

  • You are responsible for any fees, taxes or other costs associated with the purchase and delivery of your items resulting from charges imposed by your relationship with payment services providers or the duties and taxes imposed by your local customs officials or other regulatory bodies.

  • When possible, we will work with You and/or any user selling on our website, to resolve any disputes arising from your purchase.

8. No Illegal Use

USER shall not make use of SPYLR other than for the legitimate purpose for which the license is hereby granted to the USER.

USER hereby acknowledges and agrees not to use SPYLR in any manner so as to spy, harass, abuse, stalk, threaten, defame or otherwise infringe or violate the rights of any third parties.

USER shall not use any MONITORED INFORMATION FOR harassing, threatening, defaming or offending the TARGET or any third party.

User shall not share, leak, disclose, publish, part away or permit any third party to have access to any of the Monitored information of the TARGET.

9. Termination Of Services

SPYLR may terminate user account forthwith and suspend access of any services to the user without any reason whatsoever, in the event of:

  • Maturity of the subscription period.
  • In case of breach of any part of the terms of use of this website.
  • Where SPYLR receives any order from statutory authority or court of law to terminate services to User.
  • Where it is so desired in the public interest to terminate services of user.
  • The Service may be terminated upon the expiration of the subscription.
  • SPYLR may stop offering and/or supporting the Service at any time.

10. HOW SPYLR Functions

To purchase and use the Software, you are required to create an account on the Site by providing personal information such as your email address, Billing Information, and the Payment Method.

After the account registration, SPYLR will only receive your ID and email details.

By providing your payment information while purchasing the Software you are aware that SPYLR does not collect this information, it is the Payment Provider that receives payment details.

  • USER shall register an Account with SPYLR
  • USER shall install SPYLR Application on the TARGET's device
  • Connect the Targets device with User by input USERS LOGIN credentials on TARGET's device
  • SPYLR will collect MONITOR INFORMATION from TARGET's device
  • MONITORED INFORMATION will be send by SPYLR Application from Target's device to USERS Account by data connectivity.
  • User can review and save all the MONITORED INFORMATION.
You are aware that SPYLR is not responsible for any third-party data leak in databases and/or DSN servers.

You will not use the Site or Service in violation of any laws you are a subject to. Notwithstanding the foregoing, SPYLR is not responsible for the further use of the Software.

You consent to read the Compatibility Policy and to check the requirements of your target device according to the Compatibility Policy before placing the order at spylr.com

You understand that you require physical access to the device to install the Software.

You agree that SPYLR is not responsible or liable in any way for the installation of the Software on a target device.

You will properly follow all instructions and documentation provided by SPYLR to you at spylr.com

You will not allow any other third party to access your account or to utilize the Software. In case the access to your account has been granted to a third party deliberately, or by mistake, or in any other way without your consent, you acknowledge that SPYLR does not bear the responsibility, therefore.

You will only install the Software on the devices which you own or any other device only with the consent of its owner.

We reserve the right to modify, terminate, or refuse the SPYLR Service to anyone for any reason and without notice at any time.

We reserve the right to alter these Terms And Conditions Of Use at any time.

11. Registration Of User

Any user desirous to avail and/or use the services of SPYLR shall be required to register with SPYLR on website by submitting the registering form online available on the SPYLR website.

SPYLR reserves the right to accept or reject the registration of user in its sole discretion with or without assigning any reason whatsoever.

User acknowledges that it does not have any right to get registered on the website and that SPYLR shall have final authority whether to accept or reject the user registration.

User shall enter only true, correct and accurate details for registration. If at any time it is so found that the information so entered at the time of registration is false, misleading and incorrect, SPYLR shall have right to forthwith cancel / terminate user registration and discontinue any services made available to such user.

User must provide all mandatory details as required for registration of user.

User shall fill up the registration form by himself, and shall not make use any robotics system, or any automated system for filing the registration form.

User shall not enter any details in the registration form which he consider confidential and do not intend to disclose. SPYLR do not guarantee or warrantee that the information entered by the User will remain confidential and will not be viewed by third party users.

User shall not create any spam or fake registration and / or shall not create multiple user account and/or shall not scrap the website database.

User shall be required to create a password for log-in in the website. User hereby agrees not to share or disclose its password to any third party whatsoever.

User shall forthwith bring to the notice of SPYLR any unauthorized access of his user account or breach of any security knows to him.

Any licenses, permits, consents, approvals etc. which may be required for using the services of SPYLR on TARGET shall be obtained by the User at his own cost.

The User will ensure compliance with all notices or instructions posted on SPYLR website from time to time to enable the use of the Service.

The User agrees at all times to comply with the requirements of Information Technology Act 2000 as well as all rules, regulations, guidelines, by laws and notifications made thereunder.

The User shall be responsible for the set-up or configuration of his system for accessing any Service

12. Subscription

To subscribe to the Service, you should:

  • Place the order.
  • The Service provides the defined Products to be ordered by the user. The Product’s packages depend on your device, the number of features, which you may choose, and a subscription plan.
  • You are allowed to have several subscriptions under the same account.
  • While placing the order, you should complete the Billing Information and the Payment Method by providing your personal information.
  • Following the purchase of the Software, your credentials (login and password) will be sent to your email so you could access your Account/Control Panel.
  • We strongly advise you to download your private encryption key from the Control Panel or send it to the email indicated in your subscription. Save it or memorize it in case you need to reset your password or restore access to your account and subscription(s).
  • You may choose the subscription plans of the following duration - 1 month, 3 months, or 12 months.
  • You are aware that you may use the Software for more than one target device when purchasing the subscription plan, but you have to re-install it from the current device to the new one.
  • To avoid any disruption, the subscription you selected will automatically be extended for a successive renewal period of the same duration and at the original, not discounted, price.
  • Subscription automatically renews unless auto-renewal is turned off at least 24-hours before the end of the current subscription plan.
  • In case you are not disabling the auto-renewal for your order, you will be charged for the next subscription plan period. To unsubscribe, you need to contact the support team.
  • You may never use another user’s account without permission. When creating your account, you must provide accurate and complete information.
  • You are solely responsible for the activity that occurs from your account and must keep your account password secure.
  • You may not share or transfer any account. You may not disclose your password to anyone else.
  • You must notify SPYLR immediately of any breach of security or unauthorized use of your account or if you believe that an account password may have been compromised.
  • SPYLR will not be liable for any losses caused by any unauthorized use of your account.
  • You may interact with the Service through your Account/Control Panel by changing settings that are made available to you.
  • You are responsible for all activities that occur under your Account.
  • You agree not to create or access an account using a false identity or information, or on behalf of someone other than yourself.
  • You agree not to create an account or use the Service if your Account has previously been removed by SPYLR, or if you have previously been banned from the Service.
  • You have the right to deactivate any account of yours at any time. You may deactivate any account registered to your name by following the instructions on the Site.
  • If you voluntarily terminate an account or allow that account to lapse, you may reactivate that account at any time through the Control Panel on the Site. Accounts terminated by SPYLR for any type of abuse, including without limitation a violation of these Terms And Conditions Of Use, may not be reactivated for any reason. Upon any termination or suspension of the Service, the monitoring of all devices on which the Software is installed shall cease. Any information you have submitted on the Site or that which is related to your account may no longer be accessed by you.
  • In case you forgot your password to the Account, you may restore the access with your private encryption key.

13. Billing Procedure

  • All accounts are set up on a prepaid basis. SPYLR must receive payment before any billable product or service is provided and/or activated. You are required to keep valid credit/debit cards on file to charge for any recurring monthly subscription fees and one-time or multi-pay consulting fees.
  • Your subscription is NOT based on how much you use (or do not use) the Software but instead is based on the availability of Products and Services. However, the usage above your selected plan thresholds will incur additional fees.
  • You are responsible for keeping all credit/debit card details and contact information current with the SPYLR. You should periodically check your account profile within the Software to ensure that the information is up to date.
  • All of your recurring subscriptions are automatically invoiced and charged to the credit/debit cards on file.
  • Any of your invoice and/or payment receipts are available from SPYLR upon request.
  • Auto Upgrade is enabled by default. While Auto Upgrade is enabled, We will automatically upgrade your account plan to the next highest plan when you exceed your current plan’s monthly threshold. While Auto Upgrade is disabled, We will halt the processing of the Services when you exceed your current plan’s monthly threshold.
  • You agree that we can charge a subscription fee for several payments but in the amount of no more than the cost of your tariff plan.
  • Service fee is already included in the amount of your tariff plan, but it may be charged separately.

METHODS OF PAYMENT:

SPYLR will accept any payments via all major debit/credit cards, PayPal or BTC. Payment by any other means, such as check or wire transfer, are not accepted.

14. Billing Cycle

For Credit/Debit Card Billings: SPYLR will automatically charge your authorized credit or debit cards listed on file on your specific billing cycle date. If your card on file is declined for any reason, SPYLR will attempt to re-run the charge for the cards on file up to five (5) more times within the following thirty (30) days. If SPYLR has run your card four (5) times with no success, your account will be cancelled or we will contact you thru e-mail.

15. Software Application

The Software may only be used in connection with the Service End User License Agreement, and rules, restrictions or documentation set forth by SPYLR from time to time.

You understand that SPYLR, in its sole discretion, may at any time for any reason suspend or terminate any license thereunder and disable the functionality of the Software. In this case, the information you may have already accessed will become unavailable without prior notice.

SPYLR reserves the right to add or remove features or functions to the Software at any time in its sole discretion.

You may use basic features package on a device without rooting your Android device. In case you want to have access to premium features in any other packages, you may need to root (Android) the device, which is a legal procedure according to the applicable law.

If your device was unlinked from the Software due to the update of your device's operating system, you may address customer service at support@spylr.com to link it again. You should remember that you may lose the warranty for your target device operation system and when you re-link it you do it at your own risk.

16. Acceptance

By using our Site and/or the Service you confirm that you have read and consent to these Terms of Use as well as the End User License Agreement, Privacy Policy, Refund Policy, Cookie Policy, and Compatibility Policy.

SPYLR may revise these Terms of Use, End User License Agreement, Privacy Policy, Refund Policy, Cookie Policy, and Compatibility Policy at any time, without notice, and the new versions will be available on the Site.

If at any point you do not agree to any portion of these Terms of Use, End User License Agreement, Privacy Policy, Refund Policy, Cookie Policy and Compatibility Policy, you should immediately stop using the Site and/or Service.

17. Security

SPYLR cares about the integrity and security of your personal information.

  • You acknowledge that you willingly provide your personal information to SPYLR and the Payment Provider while placing the order for the Product.
  • You understand that we may use your personal information to contact you with newsletters, marketing or promotional materials and other information related to the Product. The user always has an option to unsubscribe.
  • SPYLR receives and stores only your user’s ID and email (login). The password is known only to the user. We store only hash of the password generated by md5 hash function from user’s passwords.
  • SPYLR stores your personal information in its database fully encrypted. It means SPYLR does not have a direct access to your personal data. However, SPYLR is not responsible for any third party data leaks in databases.
  • In case of the disclosure of such encrypted data, SPYLR may not be held responsible.
  • You agree that you are obliged to retain the private encryption key provided to you by SPYLR.
  • SPYLR is not able to collect and/or store in its database any exported logs and data from a target device with the use of the Software in case:
    1. The data is older than 3 (three) months
    2. Your account has been expired.
  • Upon the expiry of your account, all logs and data exported from a target device with the use of the Software will be deleted within 1 (one) month.
  • SPYLR does not control, monitor and/or is not aware of how the user exploits the Software application. SPYLR may not be held responsible for the inappropriate use of thereof. It is at a user’s risk and responsibility.
  • You acknowledge that SPYLR does not encourage its users to exploit the SPYLR service illegally.

18. Requirements To A User

When placing an order for the Product, you acknowledge and agree that you are of the age above 18.

When installing the Software to a device, you acknowledge and agree that you:

  1. Are a parent to your minor child
  2. Are an employer, who owns the devices operated by their employees
  3. Own this device or you notified the owner of the device and received their consent.

19. Compatibility Of Target Device

  • You are aware that before placing an order for subscription you have to carefully read the Compatibility Policy.
  • You are aware that before installing the Software you have to check the requirements for the compatibility of your target device.
  • In case your device is not in line with the Compatibility Policy, you may not install and use the Software application.
  • In case you have failed to comply with the Compatibility Policy before acquiring the subscription, you agree that it is your responsibility and you will not be refunded.
  • In case you have failed to comply with the Compatibility Policy before the installation, you agree that it is your responsibility and you will not be refunded.
  • You understand that in case your device is compatible according to the Compatibility Policy, you are to jailbreak or root your device (if needed) in order to use the Software

20. Software Update

  • In an effort to improve the Service, SPYLR may update the Software application from time to time.
  • You acknowledge and agree that SPYLR may update the Software with or without notifying you.
  • You acknowledge and agree that SPYLR may request you via email or Control Panel to update the Software application on a target device.

21. Refunds And Return

Please review Refund Policy.

Your eligibility for a refund may depend on the Product package, subscription plan, how much time passed since the transaction, etc.

22. LINKS

The Site may contain links to websites operated by other parties.

SPYLR provides these links to other websites as a convenience, and it is solely up to the user whether to use them or not.

The linked sites are not under the control of SPYLR, and SPYLR is not responsible for the content available on them.

23. Intellectual Property

Trademarks. SPYLR’s logo is a trademark/service mark that is used by SPYLR.

Unauthorized use of SPYLR’s trademark, service mark or logo is a violation of the applicable trademark laws and prevalent international intellectual property laws.

Copyright. The Site, Service, and Software are protected by the applicable law and international copyright laws.

All intellectual property in the design and layout of this web site and the material or information published on its pages belongs to and is vested in SPYLR or its licensors. You may not copy any part of this site or otherwise do anything in relation to any part of the site other than the following:
  • You may print or download pages from this website to a local hard disk for your personal and non-commercial use only
  • In materials issued to third parties, you may only quote the content from this site, provided that such quotes are not used in a misleading context and that you give due credit to both the author and to SPYLR.
You may not otherwise use or reproduce any part of this web site or the materials contained within it in any manner other than those listed above and without first obtaining the prior written permission of SPYLR.

Any images that appear on this website with an acknowledgement to the Licensed Material include restrictions on downloading such material for other than personal use, and prohibit republication, retransmission, reproduction, or other use of the Licensed Material.

Violation

Remedy available under this Agreement to SPYLR in case of violation of any terms of use of this website by the user, like termination of account, suspension of service, forfeiture of incentives, forfeiture of subscription fees, etc. shall be without prejudice and in addition to any of the right available to SPYLR under the law.

24. Disclaimer

All services provided by SPYLR are on “AS IS” and on “AVAILABLE” basis. And SPYLR do not guarantee or warranty that any services provided by SPYLR would be available at all the time, and that such services when available would be accurate, error free, bug free, precise, uninterrupted or would be as per USERS expectation. User agrees to use SPYLR at its own discretion, risk and consequences.

SPYLR do not guarantee or warrant that the any of the SPYLR services will be compatible with USERS devices. Before using SPYLR, user shall verify the compatibility of target device with SPYLR.

SPYLR uses internet/data connectivity to synchronize monitored information between the Target device and user Account. Hence the performance of services by SPYLR is dependent on the availability of strong internet connection, in absence of which USER may not be able to assess timely monitored information. SPYLR do not assume any liability in the event USER is not able to monitor the target due to lack of internet connectivity.

SPYLR uses device memory and device disk space to save the monitored information, which is not immune from getting corrupted, data loss, tempering or attack from virus, spam or any other damage. SPYLR shall not be liable in the event any of the monitored information gets corrupt, destroyed, tempered or lost from the target device and is not available to the USER for monitoring.

Quality of Monitored Information is subject to the precision and quality of target device. In the event target device is not compatible or does not render optimum clear output like camera, microphone, GPS etc. Then in such event quality of monitored information may not be good and in many events it may not even be usable or collected at all, for which SPYLR assumes no responsibility or liability whatsoever.

SPYLR may at its sole discretion and without assigning any reason whatsoever at any time suspend SPYLR Services without any notice with a view to carry out system maintenance or/and upgrading or/and testing or/and repairs or/and other related work. During this Suspension period user may not be able to monitor the target, in which event SPYLR is not liable for any loss that may be sustained by the user on account of unavailable of SPYLR services.

SPYLR complies with all industrial standards pertaining to safety and security of the electronic data, however, user and target understand and acknowledges that any security and safety measures are not absolutely and can be penetrated by diverse methods, and in which event, loss of data and monitored information may suffer, in which SPYLR shall not be liable to the user or the target, for loss or leak of any Information on account of hacking, data theft online security beach or for any other reasons, which is not in the control of SPYLR.

25. Wrongful Use Policy

SPYLR specifically restrict any unauthorized and illegal usage of SPYLR services on the targets and third parties and in the event the target or any third party believes that his device has been wrongly installed with SPYLR, then any such target or third party shall forthwith notify SPYLR about such wrongful installation of SPYLR on their devices.

Upon receipt of such wrongful use information, SPYLR shall assist the target or third party to uninstall the SPYLR Application from its devices.

SPYLR shall further notify the USER with whom the device is connected regarding such wrongful use report and shall seek clarification from the USER. In the event there is no satisfactory clarification received from the user, then SPYLR shall block the user account and permanently suspend SPYLR Services to such user and delete all monitored information such user from its server.

26. Terms Of Use

SPYLR may modify, add or delete any part of these Terms of Use at any time, without giving any prior notice, which shall become effective immediately upon its posting SPYLR website. It is users and targets responsibility to review these Terms of Use prior to each use of the services and by continuing to use this Site, user agree to any such changes.

27. Notice

All notices and communication to SPYLR shall be made in English Language and must be addressed to SPYLR at its contract address as provided on SPYLR website/mail. User must mention his complete and correct Legal, Postal Address and Contact Details in order to enable SPYLR to process the communication. Any communication not in accordance as aforesaid will not be considered and shall be treated as SPAM

28. No Waiver

SPYLR failure to insist in any one or more instances upon strict performance by the User of any of the terms of use shall not be construed as a waiver of any continuing or subsequent failure to perform or delay in performance of any terms hereof.

29. Entire Agreement

This Agreement shall constitute the complete and exclusive agreement between User, Target and SPYLR with respect to the use of SPYLR services, superseding any prior agreements, documents and or communications regarding the same.

30. Binding

If you do not agree to the terms & conditions contained herein, you shall stop use of SPYLR at once, however your use or continuing use of SPYLR service shall deem to be express and by all necessary legal implication conclusive proof of your consent, acceptance and binding to this Terms of Use. Your use to SPYLR services shall deem to be consideration, sufficiency to which you hereby expressly acknowledge, against your agreement to this Terms of Use including any modification made herein from time to time.

These Terms And Conditions Of Use describe certain legal rights. You may have other rights under the laws of your state or country. These Terms And Conditions Of Use do not change your rights under the laws of your state or country. Therefore if the laws of your state or country do not permit you to use the Software application you acknowledge and agree that it is upon your responsibility.
